1. Agreement to Terms
By accessing or using the services provided by Northstar Systems.tech ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
2. Description of Services
Northstar Systems.tech provides premium lead infrastructure for high-value service markets. Our services include:
- Qualified lead delivery for water damage, mold remediation, fire damage, roofing, plumbing, and HVAC services
- Territory-based lead supply programs
- Lead criteria setup and optimization
- Pilot programs for new market testing
3. Eligibility and Approval
Access to our lead supply services requires prior approval. We reserve the right to review and approve or deny any application based on factors including but not limited to: service area coverage, response capacity, business credentials, and market availability. Approval for one territory or service type does not guarantee approval for additional territories or services.
4. Lead Qualification Standards
Qualified leads delivered through our services meet the following criteria as agreed upon during the pilot setup:
- Real homeowner or property decision-maker
- Verified contact information (name and phone number)
- Confirmed service area (city or ZIP code)
- Correct service need matching your approved categories
- Timeline or urgency captured
- Permission to be contacted
- Not a duplicate within the agreed window
- Not spam, vendor, job seeker, or wrong-service request
5. Payment Terms
Our lead supply services operate on a prepaid lead budget model:
- Pilot programs require an upfront prepaid lead budget
- Lead credits are applied toward accepted qualified opportunities
- Lead budgets are non-refundable except as specified in your service agreement
- Additional lead budget purchases may be required to continue services after initial credits are consumed
6. Lead Disputes
If you believe a delivered lead does not meet the agreed qualification criteria, you must submit a dispute within 48 hours of lead delivery. Disputes must include specific reasons why the lead does not meet criteria. We will review disputes and provide credit for leads that are determined to fall outside the agreed qualification standards at our reasonable discretion.
7. No Guarantee of Results
We supply qualified opportunities but do not guarantee closed jobs, revenue, or any specific business outcomes. Your success depends on factors including but not limited to: response speed, sales process, pricing, availability, and service quality. We make no representations or warranties regarding the conversion rate or profitability of leads delivered.
8. Territory Exclusivity
Territory exclusivity and priority access arrangements are subject to the specific terms of your service agreement. Standard pilot programs do not include exclusive territory access unless explicitly stated in writing. Exclusive or priority territory options may be available for qualifying buyers under separate agreements.
9. Confidentiality
You agree to keep confidential all lead information, pricing structures, and other proprietary information disclosed through our services. Lead information may only be used for the purpose of providing services to the leads and may not be resold, shared, or distributed to third parties.
10. Termination
Either party may terminate services with 30 days written notice. We reserve the right to immediately terminate services if you violate these Terms, engage in fraudulent activity, or fail to respond to leads in a timely manner that reflects poorly on our network. Upon termination, any unused lead credits may be forfeited as specified in your service agreement.
11. Limitation of Liability
To the maximum extent permitted by law, Northstar Systems.tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or business opportunities, arising out of or related to your use of our services. Our total liability shall not exceed the amount paid by you for services in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Northstar Systems.tech, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Missouri.
